Terms of Service

Welcome to Squarelly. These Terms of Service ("Terms") govern your access to and use of the Squarelly platform, website, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

Squarelly is a rental marketplace platform operating in Malta that connects property owners, property managers, and renters. The Service facilitates property listings, compatibility matching, and communication between parties.

1. Definitions

• "Owner" refers to property owners who list properties for rent on the platform
• "Renter" refers to individuals seeking rental properties through the platform
• "Property Manager" refers to authorised managers acting on behalf of property owners
• "User" refers to any person using the Service, including Owners, Renters, and Property Managers
• "Listing" refers to a property advertisement posted on the platform

2. Account Registration

You must create an account to use certain features of the Service. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorised use of your account.

3. Identity Verification

To increase trust and safety on the platform, Squarelly requires identity verification before certain actions can be taken:

• Renters must complete identity verification before initiating contact with an Owner or Property Manager
• Owners and Property Managers must complete identity verification before publishing a listing

Identity verification is carried out through Stripe Identity and requires submission of a valid government-issued photo ID (passport, national ID card, or driving licence) and a liveness check confirming the document belongs to the submitting user.

Identity verification confirms who a user is. It does not verify financial standing, rental history, or suitability as a tenant or landlord. Users should conduct appropriate due diligence as part of the tenancy process.

4. Property Listings

Owners and Property Managers may create property listings. All listings must:

• Contain accurate and truthful information
• Include genuine photos of the actual property
• Disclose all material facts about the property
• Comply with local laws and regulations in Malta
• Not contain discriminatory content or violate fair housing laws

All listings are subject to review before being published. We reserve the right to reject or remove any listing that violates these Terms, applicable laws, or our content policies.

You are solely responsible for the accuracy of your listings. Squarelly is not responsible for the accuracy, reliability, or legality of any listing content.

5. Contact Fee and Payment

To unlock direct communication with an Owner or Property Manager, Renters pay a contact fee calculated at 2% of the equivalent traditional letting agency charge for the same introduction. The exact fee amount is displayed clearly before confirmation — no payment is taken without your active approval.

The contact fee is charged only after the Owner or Property Manager confirms the property is currently available. If a property is not yet available, the Renter is notified and given the option to cancel at no cost, or to proceed and pay the fee to unlock communication regardless.

All payments are processed securely through Stripe. By making a payment, you agree to Stripe's terms of service. Fees are non-refundable except as stated in our Refund Policy.

All fees are exclusive of applicable taxes, including VAT. Malta VAT at the standard rate will be added where applicable.

Squarelly does not process, handle, or facilitate rent payments, security deposits, holding fees, or any other financial arrangements relating to the tenancy itself. Those transactions are made directly between Owners and Renters, outside the platform.

6. Prohibited Conduct

You agree not to:

• Violate any laws or regulations
• Infringe on the intellectual property rights of others
• Post false, misleading, or fraudulent content
• Harass, abuse, or harm other users
• Engage in discriminatory practices
• Attempt to bypass compatibility or payment systems
• Use another person's verified identity or account
• Register as an Owner or Property Manager while acting as an unlicensed agent
• Use the Service for any commercial purpose without authorisation
• Scrape, copy, or duplicate content from the platform
• Interfere with or disrupt the Service
• Upload viruses or malicious code

7. Identity Document Handling

Users who submit government-issued ID documents for verification consent to:

• Processing of ID documents through Stripe Identity
• Storage of verification status on the Squarelly platform
• Use of verification status to establish platform trust and unlock features

Identity documents are processed and stored in accordance with Stripe Identity's data protection standards and applicable GDPR requirements. Squarelly does not share identity documents with other users of the platform under any circumstances.

8. Intellectual Property

The Service and its original content, features, and functionality are owned by Squarelly and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of content you post on the Service. By posting content, you grant Squarelly a worldwide, non-exclusive, royalty-free licence to use, reproduce, and display your content for the purpose of operating and promoting the Service.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Squarelly does not warrant that the Service will be uninterrupted, timely, secure, or error-free. We do not warrant the accuracy or completeness of any content on the Service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SQUARELLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Squarelly is a marketplace platform and is not a party to any rental agreements between Owners and Renters. We are not responsible for the conduct of users or the quality, safety, legality, or availability of properties listed.

11. Indemnification

You agree to indemnify, defend, and hold harmless Squarelly and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of another party.

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

You may terminate your account at any time via our support form. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Malta, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Malta.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on this page and updating the "Last updated" date.

Your continued use of the Service after such changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Service.

15. Severability and Entire Agreement

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Squarelly regarding the use of the Service and supersede all prior agreements and understandings.
